The essentials
Tokenization records or represents rights using a digital token. The token might represent a security, a claim against an issuer or access to a service. The technology does not determine the legal character of that right or guarantee ownership of a physical asset.
How it works
Map the issuer, asset holder, registrar, custodian and redemption agent. Determine which record is legally authoritative and how transfers, restrictions and corporate actions are reflected. Smart contracts may automate some steps while relying on institutions for valuations, legal enforcement and cash payments.
What to watch
A token linked to a bond still needs interest payments, maturity processing and treatment of default. Fractional transferability may improve access without creating market liquidity. If the token qualifies as a financial instrument, the relevant securities framework must be assessed; token form does not automatically put it under MiCA.
Understand the details
Tokenization records or represents a right using a token. The crucial design question is what transferring the token changes legally and operationally. It might represent ownership, a contractual claim, a registry entry or merely a reference. The same technical token standard can support very different rights.
Boundaries and common mistakes
The asset lifecycle includes issuance, transfers, income, corporate actions and redemption or cancellation. Off-chain events need reliable updates. Transfer restrictions may reflect eligibility rules, while administrator powers may permit freezing or correction. Technical transferability alone does not establish a liquid market or resolve ownership disputes.

Apply the lesson to a case
A token represents a claim on a warehouse-held item. The item is damaged, but the token still transfers normally. Draw the link between physical custody, contractual rights, the registry and the token holder. Identify who reports the damage.
It proves the recorded transfer under the token contract’s rules, not the item’s condition or the enforceability of a claim. Review the governing documentation, custodian responsibilities and dispute process. A complete design handles the off-chain failure rather than assuming the ledger prevents it.
Map a tokenised bond
Imagine a bond represented by 1,000 tokens, each referring to €100 of principal under the issuance documents. The technical balance is only one part of the picture. Identify the legal issuer, the authoritative ownership register and the process for paying coupons and principal.
Suppose a holder moves 10 tokens to another address. Did the legal ownership transfer too? The answer depends on the product documents and applicable rules, including eligibility restrictions and how the register is updated. A successful transaction alone does not settle every legal question.
The useful operational test is a complete lifecycle: issue, transfer, reconcile, pay a coupon and redeem at maturity. Test a failed cash payment and a lost-key situation as well. Automation may improve recordkeeping while retaining dependencies on banks, registrars and legal enforcement.
